Welcome to Kitra. These Terms & Conditions ("Terms") govern your access to and use of Kitra's website, applications, and services (collectively, the "Service").

By accessing or using Kitra, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.


1. Service Description

Kitra is an all-in-one meeting productivity platform that provides:

  • Customizable booking pages for scheduling meetings
  • Calendar integrations with Google Calendar and Zoom
  • Automated meeting recording via the Kitra Notetaker
  • AI-powered transcription with speaker identification
  • Meeting summaries, action items, and searchable notes
  • Workflow automation and email notifications

The Service is designed for professionals and businesses who want to streamline their meeting workflows and capture important information automatically.


2. Account Registration & Eligibility

2.1 Eligibility

To use Kitra, you must:

  • Be at least 16 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws

2.2 Account Creation

When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

You may register using your email address or through Google OAuth. If you use Google OAuth, you authorize us to access certain Google account information as described in our Privacy Policy.


3. Subscriptions & Pricing

3.1 Available Plans

  • Free: Limited features with 150 minutes per month
  • Pay-As-You-Go: $1.50 per meeting hour, billed monthly
  • Pro (Monthly): $16.99 per month with 1,200 minutes included
  • Pro (Yearly): 20% discount when billed annually

3.2 Plan Features

Features vary by plan and may include:

  • Number of booking pages
  • Recording minutes
  • Data retention period (14-90 days)
  • Number of brands
  • Workflow automations

We reserve the right to modify pricing and features with reasonable notice. Changes will not affect your current billing period.


4. Payments & Billing

4.1 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees. We do not store your full credit card information.

4.2 Billing Cycle

  • Monthly subscriptions are billed on the same date each month
  • Annual subscriptions are billed once per year
  • Pay-As-You-Go usage is calculated and billed monthly

4.3 Failed Payments

If a payment fails, we will attempt to process it again and notify you. Continued failure to pay may result in service suspension or termination. You remain responsible for any uncollected amounts.


5. Refund Policy

We offer a 30-day refund window for eligible cases, including:

  • Billing errors or duplicate charges
  • Service issues that prevented you from using core features
  • Accidental subscription purchases

Refund requests must be submitted to support@kitra.io within 30 days of the charge.

Refunds are not available for partial months, used Pay-As-You-Go credits, or if the account has violated these Terms.


6. User Obligations & Acceptable Use

6.1 Your Responsibilities

As a Kitra user, you agree to:

  • Obtain consent before recording any meeting — you are responsible for informing all participants
  • Comply with all applicable laws including privacy, recording consent, and data protection regulations
  • Maintain account security by using strong passwords and not sharing credentials
  • Use the Service lawfully and in accordance with these Terms
  • Ensure you have the right to use any content you upload or process through the Service

6.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose
  • Record meetings without proper consent from all participants
  • Upload malicious content, viruses, or harmful code
  • Attempt to breach, hack, or circumvent security measures
  • Interfere with or disrupt the Service or servers
  • Resell, redistribute, or sublicense the Service without authorization
  • Use automated scripts, bots, or scrapers (except via our official API)
  • Harass, abuse, threaten, or harm others through the Service
  • Impersonate any person or entity
  • Violate any third-party rights, including intellectual property rights

Violation of these rules may result in immediate account suspension or termination.


7. Data & Content Ownership

7.1 Your Content

You retain full ownership of your data, including meeting recordings, transcripts, and any content you upload to Kitra. We do not claim ownership of your content.

7.2 License to Kitra

By using the Service, you grant Kitra a limited, non-exclusive license to process your content solely for the purpose of providing the Service. This includes transcribing audio, generating summaries, and storing your data during the retention period.

7.3 Data Retention

Your meeting data is retained according to your plan:

  • Free: 14 days
  • Pay-As-You-Go: 30 days
  • Pro: 90 days

After the retention period, your data is automatically and permanently deleted.

7.4 Data Export & Deletion

  • You can export your data through your account settings
  • You can request deletion of your data at any time
  • Upon account deletion, all associated data is permanently removed within 30 days

8. Google Integration & Limited Use

Kitra integrates with Google services to provide calendar and authentication features.

8.1 Google API Services

When you connect your Google account, Kitra accesses:

  • Your Google profile (name, email, photo) for authentication
  • Google Calendar data to check availability and create events
  • Ability to create Google Meet links for bookings

8.2 Limited Use Compliance

Kitra's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Specifically, we:

  • Only use Google data to provide and improve the Service
  • Do not sell Google user data to third parties
  • Do not use Google data for advertising purposes
  • Do not allow humans to read your data unless required for security, legal compliance, or with your consent

8.3 Revoking Access

You can revoke Kitra's access to your Google account at any time through Google Account Permissions. This will disable calendar sync and Google Meet integration.


9. Third-Party Services

Kitra integrates with various third-party services to provide functionality:

  • Google — Calendar integration and authentication
  • Zoom — Video meeting creation and integration
  • Stripe — Payment processing

Your use of these third-party services is governed by their respective terms of service and privacy policies. Kitra is not responsible for the practices of third-party services.


10. Intellectual Property

10.1 Kitra's Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding your content), is owned by Kitra and is protected by copyright, trademark, and other intellectual property laws.

10.2 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices or labels
  • Use our trademarks without written permission

10.3 Feedback

If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without obligation to you.


11. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to our data practices as described in the Privacy Policy.


12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Transcription accuracy will meet your specific requirements
  • Any errors in the Service will be corrected

You use the Service at your own risk. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Kitra shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Kitra shall not be liable for any loss of profits, data, use, goodwill, or other intangible losses
  • Kitra's total liability shall not exceed the amount you paid to Kitra in the 12 months preceding the claim

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if Kitra has been advised of the possibility of such damages.


14. Indemnification

You agree to indemnify, defend, and hold harmless Kitra and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or data processed through the Service
  • Your failure to obtain proper consent for meeting recordings

15. Termination

15.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support@kitra.io. Upon termination, your right to use the Service will immediately cease.

15.2 Termination by Kitra

We may suspend or terminate your account:

  • Immediately, if you violate these Terms or engage in prohibited activities
  • With 30 days notice, for any other reason
  • If required by law or to protect the rights, safety, or property of Kitra or others

15.3 Effect of Termination

  • Your data will be deleted within 30 days of account termination
  • You may export your data before termination
  • No refunds will be provided for unused portions of prepaid subscriptions unless required by law

15.4 Survival

The following sections survive termination: Data & Content Ownership, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.


16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at support@kitra.io to attempt to resolve the issue informally. We will work in good faith to resolve any concerns within 30 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration, rather than in court. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association.

16.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.


17. Changes to Terms

We may update these Terms from time to time. When we make changes:

  • We will update the "Last updated" date at the top of these Terms
  • For material changes, we will notify you via email or through the Service
  • Continued use of the Service after changes constitutes acceptance of the new Terms

If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.


18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Wyoming.


19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.


20. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Kitra regarding the Service. These Terms supersede any prior agreements or understandings.
